The world’s second-largest pharma company, Pfizer, has agreed to divest its $3.3 billion-a-year global operations of drugs and vaccines. The agreement allows Pfizer to buy AstraZeneca, an American drugmaker, for $37.5 billion.
Pfizer’s $3.3 billion-a-year business is expected to be the biggest in its history. It will make up $3.2 billion in net sales of generic drugs, up from $3.3 billion in 1998. Pfizer is also a member of a $3.6 billion global health insurance program. It will pay $3 billion in tax on the sale of a part of its global operations to the United States. Pfizer also has a $2.1 billion share in a global pharmaceutical company called GlaxoSmithKline.
AstraZeneca’s patent on Nexium, the active ingredient in Nexium, expired in 1999, giving Pfizer the option of selling its drugs as well. But the pharmaceutical giant said it was not pursuing any of its patent litigation. Pfizer has not filed a complaint against AstraZeneca.
Pfizer and AstraZeneca have been fighting a number of drug patent challenges for the past two decades. Last year, the drugmaker challenged the validity of the U. S. Patent Act that protects against “antitumor, carcinogenic, or life-threatening drug-use.” That law, in part, was the result of a study by the Food and Drug Administration that found a “large percentage of the new-generation drugs used in the treatment of cancer, endocrine-disrupting tumors, and certain types of cancer were not being used in these new-generation products.”
In the past few years, Pfizer has sued the company over its failure to warn that it had a growing problem with an older drug called.
In January, the U. Court of Appeals for the Fourth Circuit ruled that the drug maker’s patent on a painkiller is invalid because it was not disclosed in the patent application. Pfizer’s patent on Nexium was later challenged by AstraZeneca, which filed an appeal in the U. District Court for the Central District of California, and in a U. District Court. The company was appealing that ruling.
Pfizer also filed a lawsuit against the company on May 19, 2010. It is scheduled to hear a trial on Oct. 8.
Pfizer is facing similar lawsuits in the U. District Court for the District of Massachusetts. The court has been considering whether to grant a request to have the company named as a defendant in a class action lawsuit. The company is seeking certification to make the class action suit a class action.
The federal court also recently ruled against Pfizer. It said that “the proposed settlement agreement would not be fair to the class of plaintiffs.” The court also said that it did not find that the settlement agreement was in any way improper, although the court agreed that “it is likely the agreement was not the best deal” for the class to make, and that “the district court’s ruling was correct.”
Pfizer is also facing a similar class action lawsuit against several of its competitors. The lawsuit is called “Competitor-wide.”
The litigation has resulted in the filing of three complaints against the company. A number of different generic drugs, including Nexium, are now on the market, including one of AstraZeneca’s most recent products, Prilosec. The generic versions include Nexium’s version 2, which is similar to AstraZeneca’s Nexium, and AstraZeneca’s generic version 3, which is a newer version of the drug that has a different chemical name.
The suit will also seek to have the companies’ patents expire, which would prevent the company from launching more of the same types of generic products. The company will also be required to pay a royalty for marketing and sales of the new drugs.
Pfizer, AstraZeneca and GlaxoSmithKline are among the company’s top sellers. In 2002, Pfizer became the first major drugmaker to market a generic version of a drug. But the drugmaker has faced problems that led it to delay the drug’s launch.
